What are your credentials?                      
Idaho Registered Agent has been in the registered agent and business document filing service industry for over 10 years. 

How can you charge half of all your competitors and stay in business?
Idaho Registered Agent is a small operation.  You deal directly with the owner.  Most of Idaho Registered Agents competitors are national registered agents like ct corporation system, incorp, corporation service company (CSC), or national registered agents inc (NRAI), have to hire CPA’s or attorneys in each state to act as THEIR registered agents.  Most national registered agent outfits, don’t own the offices in each state, and consequently have to change attorneys or accountants in each state on a regular basis to keep a physical address in each state to fulfill the state statutes.  SO… they have to split their fees with accountants or attorneys in each state, and we all know how much attorneys and accountants charge for their time. 

With Idaho Registered Agent, you are cutting out the middleman.  We try very hard to keep our overhead and monthly expenses down.  We operate out of a simple office that is not decorated very fancy, we rely heavily on word of mouth advertising, and we try to get people to pay by check instead of racking up huge credit card processing fees.  Keeping a clean, organized, streamlined, and efficient business lets us pass the savings on to our clients.  We offer an incredible price that’s half of our next closest competitor.  They can’t touch our price, and will never be able to.

No.  You can do it for free and with no additional paperwork at the time of your annual report.  If you want to or need to do it, before your annual report, we will fill out the paperwork for you for free.

Is the annual registered agent fee a year from time of service, or calendar year?
It is one year from the time you hire us.  Your annual report will be due one year from the time your paperwork is filed, so you can get everything taken care of at one time.

How do I know you won’t disappear?                   
You don’t, but I can tell you this…..Idaho Registered Agent doesn’t believe in living and operating outside of its means.  This means slow and steady growth.  We can’t afford to spend 1000’s of dollars each month on pay-per-click advertising on Google, yahoo, and msn search engines like our competitors.  That’s why they charge more.  It is our goal to be the biggest registered agent provider in Idaho by 2013.  We can’t do that by disappearing or by providing bad customer service.  Help get us there and become a client now!!

Where are you located?
Idaho Registered Agent is located in the Coeur d’Alene Idaho area.  Some of the towns in the area are: Sandpoint, Bonners Ferry, Spirit Lake, Hayden, Hayden Lake, Post Falls, Rathdrum, Spokane Washington, Spokane Valley Washington, and Liberty Lake Washington.  Coeur d’Alene is often abbreviated as: CDA because no one can spell it correctly.  CDA is a great small town of 35,000 people.  Kootenai County has over 100,000 people, and Spokane Washington is a half hour away with 400,000 people.  We have many lakes, 3 ski resorts within 45 minutes, 5 ski resorts within 1.5 hours, and 1000’s of forest acres and state parks to enjoy.  Spokane is referred to as the inland empire because it is the biggest city east of Seattle and Portland in the northwest.  It is our hub, and has reasonably priced airfare, a train depot, a beautiful downtown with a river running through it, parks, a nice convention center, and plenty of big box stores and big city conveniences.  If you’ve never seen this part of the country, it is truly worth a trip.  The summers here feel like a dreamy perfect day, every day.  It is truly the perfect place to live and work. 

What are your future plans?

  1. To become the biggest registered agent service in Idaho.

  2. There are no plans to be a national registered agent.  National registered agents have way too much to keep up with.  They also have to hire separate firms in each state to provide service to their customers.  If you will look at national registered agent’s records with the different secretary of state offices in each state, you will find that they always have to keep switching firms in each state just so they could stay in business.  There are way too many fun recreation opportunities here to spend our days dealing with that.

Can I see a picture of your office dog?
Sure his name is moose and yes he’s full grown.  He’s 4.5 pounds and chases squirrels, deer, birds, and bear.  He also has pointed at 2 separate pheasants in the weeds.  I was obviously not hunting them with a yorkie/Pomeranian, and I really don’t think he would have known what to do past the pointing.

He enjoys swimming after ducks in ponds and rivers, running atop snow drifts, hiking in the woods, sitting outside coffee houses, crushed 2 liter plastic bottles, blue nylabones, and as many people as he can meet.  It is amazing how many smiles and little bits of joy he brings to the people he meets.  We are in the process of completing the certification to bring him into hospitals and nursing homes to bring some joy into their lives.

Your contact information is not used for us to fill out forms with the state.  It is just for our information if WE need to contact you.  Since that is our primary job, it is very important to keep us updated of any changes.  We do not sell your information.  Our website is encrypted.  Our database is encrypted.  The only time you have to offer your social security number is for preparation of federal tax identification numbers for your business.  We do not save your social security number.  We also do not save your credit card, or checking account information.  If you pay over the phone or mail.  Your information is shredded.  If you pay online, we never even see your credit card info.

Why do I need a registered agent?
The following is the same answer to all these questions… What do registered agents do?
Why should I hire a professional registered agent instead of just using my business address?
What is the purpose of a registered agent?

Every state requires an entity or business to have a registered agent.  The purpose of a registered agent is to have a LOCAL address on record with the state.  Let’s be honest here.  The biggest reason they require this is to close some loopholes in the way our law works.  If you sue someone, you or your attorney create the paperwork, and go down to the courthouse.  Then you can hire the sheriff to serve the people you are suing.  That is where the term: “service of process” comes from.  This is basically a fancy term for “you are getting sued” You can also elect to send the people you are suing a certified letter, which is usually about 30.00 cheaper than hiring the sheriff.  BUT…..you can’t continue with your lawsuit until you have some kind of verification that the party you are suing knows they are getting sued.  So if you send a certified letter and the party you are suing sees it, they can very easily decide to not accept it from the postmaster.  It will get sent back to you, and then you are back to square one.  That is why most people hire the sheriff.  If you had an old address or a false address on record with the state, the sheriff would have a hard time tracking you down, and thus you would be able to avoid some law suits, for the time being.  If you do this though,  your business entity will start to get administratively dissolved with the state, and then the suing party would go after the business entity owner, personally, but this is a very long, drawn out process, and it would be much simpler to just make each business entity keep an actual address, where service of process can be delivered. Sooo…lawmakers realized that they needed some rule to keep you from hiding from the law.

 What this means to you is that if you are operating a business outside the state, but have a friend or something that you want to put down as your registered agent to save some money, you can do that.  But if you get sued, the sheriff is going to look up your registered agent and serve your friend.  Your friend might not understand the importance of this and forget to tell you, or be embarrassed, or think it might just go away.  All this time, your law suit will be continuing because the suitor has proof you received the document, and can obtain a judgment against you without you ever knowing it!!   The same is true if you operate a business in the state.  All a sheriff has to do is get anyone from your office to sign the document.  If someone signs for it, and puts it aside in a busy office, it could be very easily overlooked.  That is the biggest benefit of having a professional registered agent.  Law suits go through us, and we make sure you know about it, and can help you know what to do next.  We are not attorneys, but work with many and can offer referrals for attorneys that specialize in your area of need. 

What happens if I don’t have a registered agent, or my registered agent is deemed not present anymore? Your business entity will be administratively dissolved by the Secretary of State for Idaho.  This takes a few months, but if it goes through you will face some fees, and most importantly you will lose your liability protection that your entity shields you personally from.

What happens after the first year of registered agent service is up?
Idaho registered agent will remind you when your annual report is due by email, and send you an invoice for the next year.  You can submit payment by check or credit card.  If you’re going to use someone else, just email us back and let us know.  There’s no cancellation fee if you fill out the proper paperwork with the state to switch registered agents , or dissolve your entity.

What if I have a registered agent now and want to change to you?
If you’re filling out your annual report, you can just fill in our name as your registered agent and our address

Then just let us know……   When you sign up with us there’s a form to fill out and you can fill in the blank where it asks you if you’ve had a previous registered agent.  There are no additional fees to switch.  We will check your filing and make sure it’s correct.  If you need to change before your annual report, we will fill out the paperwork for you, for free.

Can I pay other than PayPal or credit card?
We can email, mail, or fax you an invoice to pay by check.  Or we accept cash.  If you’re having us incorporate a business or personal entity for you, we need to receive payment before we file, because we have the state fees deducted out of our state account instantly, and the state does not give refunds.

Corporation Frequently Asked Questions (FAQs)

What do I need to start a corporation?
You need to file articles of incorporation with the state of Idaho.

Do I need an attorney to form a corporation?
No, you can prepare and file your articles of organization yourself, or you can hire us to do it for you by filling out the proper forms.  (Click here)   If you are unsure if you need to be incorporated, or what kind of corporation you should have, you should consult an attorney and/or an accountant and/or read some of our great, extensive information on corporations and LLC’s.

I don’t understand what I need to do with the shares?
A corporation has to authorize shares.  They can be as many or as little as you want.  There has to be at least one share.  You can buy pre-printed forms to print your company information on a physical share, or you can have records indicating how many shares the company has and who has them, without actually printing physical shares.  The total number of shares you authorize in the initial articles of incorporation are the number of shares you can give the shareholders.  Most people create 100-1000 shares to start, and do not issue them all, so they can issue shares to new investors if needed without having to amend the articles of organization.  You can change the amount of shares and the value of each at any time. 

What does par value of each share mean?
This is the value you place on each share.  Most people use 1.00 or .01.  This is not an actual representation of what the company is worth.  If you have a public company, your share price is set by what price people buy and sell it in the stock market.  If you have a privately held company your share price is set by the company’s shareholders. 

How many people do I need to start a corporation?
1.  You can act as the president, secretary, treasurer, and whatever else you want to act as.

Do I need to tell the state of Idaho all the directors’ names?
No.  If you use us to organize your corporation, we are the organizer, and sign the documents that way on your behalf.  If you want, we can file additional attachments to our original filing.  Sometimes if the corporation has multiple shareholders, they want to be listed in the state records.  If you want to maintain your privacy, you don’t have to, or you can list your name with our address, if you use our registered agent service.

How soon do I get my documents?
The State gets our paperwork the same day you hire us.  If you use their rush service for $20.00 extra, they claim they will have your documents filed within 8 hours of receipt.  Without the rush service, it takes about a week for them to file the paperwork.  Once it’s filed, they will send the paperwork to the address we designate as the mailing address.  If we designate your address, it will go directly to you.  If you want to keep your privacy and designate Idaho Registered Agent as your mailing address, we will mail it out right away and scan with email.  You have the option of regular mail for free, or certified mail with confirmation for $10.00, or overnight for $40.00.

Do I keep getting bills from you? 
If you act as your own registered agent, you do not get any more bills from us.  The filing fees are one-time fees.  If you need help with other filings you can contact us at any time, and those services have very minimal fees.

What do I need to start an LLC?
You need to file articles of organization with the state of Idaho.

Do I need an attorney to form an LLC?

Can members be other entities, or do they have to be individuals?
Members can be other corporations, or individuals.  Any combination works.

Should I be member managed, or manager managed?
If you are the sole operator of this LLC, you would probably want to be member managed, because there will be no one else in the organization.  If you operate this LLC as a business, and have multiple members who own interest in this LLC, but some of them are silent partners, and do not get involved with the day-to-day management of the organization, you would probably want to be manager managed.  This will give your ceo, or operations manager, signing capabilities for your LLC.
